Terms of Service

Parties
These Terms govern use of the Upgear platform provided by Upgear CRM ("we"). By subscribing to Upgear, you ("Customer") accept these Terms.
Subscription
Upgear Core is billed annually, with rates tailored by association membership, geography, and team size. Three optional addons (WhatsApp Marketing, AI Copilot, Photo Attendance) are billed annually in addition to Core. Specific rates for any deployment are confirmed in writing on the demo call and good for 90 days.
Cancellation and refunds
Cancellation of subscription and refund eligibility are governed by the published Cancellation and Refund Policy. Customer data can be exported in full at any point during or after the subscription, per the data-ownership clause below.
Pass-through fees
WhatsApp provider message fees and Razorpay transaction fees pass through at the external provider’s published rates. We do not mark these up.
Data ownership
All customer data remains the property of the Customer. We hold data only as a processor for the purpose of providing the service. Per-tenant database architecture means your data lives on its own SQL database, isolated from every other customer.
Service availability
We target 99.5% monthly uptime, excluding scheduled maintenance windows (notified 48 hours in advance). Credit terms for sustained outages are available on request.
Governing law
These Terms are governed by the laws of India. Courts at Kolhapur, Maharashtra have exclusive jurisdiction.
